1. Acceptance of Terms
By creating an account, accessing, or using MindBridge's software, website, mobile application, documentation, and related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use the Services.
These Terms constitute a legally binding agreement between you and InsightCrossing, Inc. ("MindBridge," "we," "us," or "our"), a company incorporated in the United States.
2. About MindBridge
2.1 What MindBridge Is
MindBridge is a reflective personal development platform that combines AI-guided self-exploration sessions with optional professional oversight from licensed mental health professionals ("Professional Guides"). The Services are designed to support your emotional wellbeing and personal growth journey.
2.2 What MindBridge Is Not
MindBridge is NOT:
- A replacement for professional mental health care, psychotherapy, or counseling
- A medical device or diagnostic tool
- A crisis intervention or suicide prevention service
- A substitute for emergency medical or psychiatric services
- Licensed to provide mental health treatment or therapy
IMPORTANT: If you are experiencing a mental health emergency or crisis, please contact emergency services immediately by calling 911 (U.S.) or your local emergency number. You may also contact the 988 Suicide & Crisis Lifeline (call or text 988) or the Crisis Text Line (text HOME to 741741).
2.3 Regulatory Status
MindBridge's Services are not currently evaluated, cleared, or approved by the U.S. Food and Drug Administration (FDA) or any other regulatory body. The Services are provided as personal development and wellness tools, not as medical treatments.
3. Eligibility and Account Registration
3.1 Age Requirements
You must be at least 18 years old to use the Services. By using MindBridge, you represent and warrant that you are at least 18 years of age.
Children's Privacy: The Services are not directed to individuals under 18 years of age. We do not knowingly collect personal information from anyone under 18. If we learn that we have collected personal information from a person under 18, we will delete that information as quickly as possible and terminate the associated account.
3.2 Account Registration
To access certain features of the Services, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
3.3 Account Suspension and Termination
We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:
- Violation of these Terms
- Fraudulent, abusive, or illegal activity
- Extended periods of inactivity
- Requests by law enforcement or other government agencies
- Technical or security issues
4. Subscription Plans and Billing
4.1 Subscription Tiers
MindBridge offers multiple subscription tiers with varying features and pricing. Current subscription options and pricing are available on our website and within the application.
4.2 Billing and Payment
By subscribing to MindBridge:
- You authorize us to charge your designated payment method on a recurring basis (monthly or annual, depending on your selected plan)
- Subscription fees are billed in advance and are non-refundable except as required by law
- You are responsible for all applicable taxes
- You authorize us to update your payment method if we receive updated information from payment service providers
4.3 Price Changes
We reserve the right to modify subscription pricing at any time. We will provide you with reasonable advance notice (at least 30 days) of any price changes. Your continued use of the Services after a price change constitutes your acceptance of the new pricing.
4.4 Cancellation and Refunds
You may cancel your subscription at any time through your account settings or by contacting admin@themindbridge.app. Cancellations are effective at the end of your current billing period. You will continue to have access to paid features until the end of your billing period.
Refund Policy: Subscription fees are generally non-refundable. However, if you cancel within 14 days of your initial subscription purchase, you may request a refund by contacting admin@themindbridge.app.
4.5 Free Trial Periods
We may offer free trial periods for new users. If you do not cancel before the end of the trial period, you will be automatically charged for a subscription at the then-current rate. Free trials are limited to one per user.
5. Use of Services
5.1 Permitted Use
You may use the Services only for lawful purposes and in accordance with these Terms. You agree to use the Services:
- For personal, non-commercial use only
- In a manner consistent with applicable laws and regulations
- Respectfully and without harassing or abusing Professional Guides or other users
5.2 Prohibited Conduct
You agree NOT to:
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Impersonate any person or entity
- Use the Services to harm, threaten, or harass others
- Attempt to gain unauthorized access to any portion of the Services
- Interfere with or disrupt the Services or servers
- Use any automated system (bots, scrapers, etc.) to access the Services
- Reverse engineer, decompile, or disassemble any portion of the Services
- Remove or modify any proprietary notices from the Services
- Use the Services for any commercial purpose without our express written consent
- Share your account credentials with others
- Create multiple accounts for the same individual
5.3 Content You Provide
By using the Services, you may provide text, voice recordings, reflections, and other content ("User Content"). You retain ownership of your User Content, but you grant us certain rights as described in Section 6.
You represent and warrant that:
- You own or have the necessary rights to all User Content you provide
- Your User Content does not violate any law or infringe any third-party rights
- Your User Content does not contain viruses, malware, or other harmful code
6. Intellectual Property and Licenses
6.1 MindBridge's Intellectual Property
The Services, including all software, text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, algorithms, and computer code (collectively, "MindBridge Content"), are owned by MindBridge and are protected by copyright, trademark, patent, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services and MindBridge Content solely for your personal, non-commercial use in accordance with these Terms.
6.2 License to Your User Content
By providing User Content to MindBridge, you grant us a worldwide, non-exclusive, royalty-free license to:
- Use, store, and process your User Content to provide the Services to you
- Create de-identified and/or aggregated data derived from your User Content
- Improve the Services, including training and refining our AI algorithms
- Comply with legal obligations
Important Clarifications:
- We will never share your identifiable conversational transcripts or session content with third parties without your explicit consent (except as required by law or to provide the Services)
- De-identified and aggregated data that cannot reasonably identify you may be used for research, analytics, and service improvement
- Professional Guides may access your session summaries and content solely to provide oversight services to you
7. Privacy and Data Handling
Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
Key Privacy Commitments:
- We use strong encryption and security measures to protect your data
- We never sell your identifiable personal information to advertisers or marketers
- Professional Guides access your information only as necessary to provide services to you
- You have rights to access, correct, and delete your personal data

8. Professional Oversight and Clinical Considerations
8.1 Role of Professional Guides
Professional Guides are licensed mental health professionals who provide periodic written oversight notes (when included in your subscription plan). Professional Guides:
- Review session summaries and user progress at regular intervals
- Provide written observations, acknowledgments, and guidance
- Monitor safety flags and concerning patterns
- Are not providing psychotherapy, counseling, or clinical treatment through MindBridge
8.2 Professional Guide Matching
If your subscription includes Professional Guide services, we will match you with an appropriate guide based on various factors including specialty areas, approach compatibility, and capacity. While we strive to create beneficial matches, we cannot guarantee that any particular match will meet your needs or expectations.
8.3 Limitations of AI
MindBridge's AI is a tool for reflective self-exploration, not a substitute for human clinical judgment. The AI:
- Cannot diagnose mental health conditions
- Cannot prescribe medications or provide medical advice
- May misunderstand or misinterpret your statements
- Operates based on algorithms that may have limitations or biases
8.4 No Guarantee of Outcomes
We make no guarantees regarding the effectiveness of the Services or any particular outcomes you may achieve. Personal development and emotional wellbeing are complex processes influenced by many factors beyond our Services.
9. Safety Monitoring and Crisis Response
9.1 Automated Safety Monitoring
MindBridge employs automated systems to monitor user interactions for safety concerns. If our systems detect concerning language or patterns, we may:
- Display crisis resources and helpline information
- Notify your assigned Professional Guide (if applicable)
- Alert our clinical oversight team
- Take other appropriate safety measures

9.2 Limitations of Safety Systems
CRITICAL:
While we employ safety monitoring systems, we cannot guarantee detection of all crisis situations or concerning patterns. Our safety systems:
- Are not a substitute for professional crisis intervention
- May produce false positives or false negatives
- Operate with some delay and are not monitored in real-time by humans
- Should not be relied upon as a crisis prevention service

10. Third-Party Services and Links
The Services may contain links to third-party websites, resources, or services that are not owned or controlled by MindBridge. We are not responsible for:
- The availability, accuracy, or content of third-party resources
- The privacy practices or terms of service of third parties
- Any damages or losses caused by your use of third-party resources
Your use of third-party services is at your own risk and subject to the terms and policies of those third parties.
11. Disclaimers and Limitation of Liability
11.1 Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
- The Services will be uninterrupted, secure, or error-free
- The results obtained from using the Services will be accurate or reliable
- Any errors in the Services will be corrected
- The Services will meet your requirements or expectations
11.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MINDBRIDGE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of (or inability to access or use) the Services
- Any conduct or content of any third party on the Services
- Any User Content obtained from the Services
- Unauthorized access, use, or alteration of your transmissions or content
- Any matter related to the Services
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
11.3 Exceptions
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless MindBridge and its officers, directors, employees, agents, affiliates, and partners from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
- Your violation of these Terms
- Your violation of any rights of another party
- Your violation of any applicable laws or regulations
- Your User Content
13. Dispute Resolution and Arbitration
13.1 Informal Dispute Resolution
Before filing a claim, you agree to contact us at admin@themindbridge.app to attempt to resolve the dispute informally. We will attempt to resolve the dispute informally within 60 days of receiving notice.
13.2 Binding Arbitration
If we cannot resolve a dispute informally, you and MindBridge agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, except as modified by these Terms.
Arbitration Agreement:
- The arbitration will be conducted in the state where you reside or another mutually agreed location
- Each party will be responsible for paying any AAA filing, administrative, and arbitrator fees in accordance with AAA rules
- The arbitrator's decision will be final and binding
- Judgment on the arbitration award may be entered in any court having jurisdiction
13.3 Class Action Waiver
YOU AND MINDBRIDGE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
13.4 Exceptions to Arbitration
Either party may seek injunctive or other equitable relief in court to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.
13.5 Opt-Out Right
You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to admin@themindbridge.app including your name, email address, and a clear statement that you wish to opt out of the arbitration agreement.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles.
Subject to Section 13 (Dispute Resolution), you agree to submit to the exclusive jurisdiction of the courts located in New York County, New York for resolution of any disputes.
15. Changes to Terms
We may modify these Terms at any time by posting the revised Terms on our website and within the application. We will also provide notice of material changes via email or through the Services at least 30 days before the effective date.
Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Services and may cancel your subscription.
We will maintain prior versions of these Terms in an accessible archive.
16. Termination
16.1 Termination by You
You may terminate your account at any time through your account settings or by contacting admin@themindbridge.app. Upon termination:
- Your subscription will cancel at the end of the current billing period
- You will lose access to paid features after your subscription expires
- You may request deletion of your data as described in our Privacy Policy
16.2 Termination by Us
We may suspend or terminate your account immediately, without prior notice, if:
- You violate these Terms
- We are required to do so by law
- We discontinue the Services (with reasonable advance notice when possible)
- We determine that continuing to provide Services to you creates risk or liability
16.3 Effect of Termination
Upon termination:
- All rights and licenses granted to you will immediately cease
- You must cease all use of the Services
- Provisions that by their nature should survive termination will survive (including ownership provisions, warranty disclaimers, indemnification, and limitations of liability)
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy and Safety Policy, constitute the entire agreement between you and MindBridge regarding the Services and supersede all prior agreements and understandings.
17.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
17.3 No Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
17.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section is void.
17.5 Force Majeure
We shall not be liable for any failure to perform our obligations under these Terms where such failure results from circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
17.6 Notices
Notices to you may be made via email, postal mail, or postings on the Services. We may also provide notices of changes to these Terms or other matters by displaying notices or links to notices generally on the Services.

17.7 Relationship of the Parties
You and MindBridge are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and MindBridge.
17.8 Language
These Terms have been prepared in English. If these Terms are translated into another language, the English version shall prevail to the extent of any conflict or inconsistency.
